Article I Name and Territory | |
| Section 1.
This organization shall be known as the Rocky Mountain Chapter of the Institute of Electrical and Electronic Engineers, Electro-Magnetic Compatibility Society. Section 2. Hereinafter, CHAPTER shall refer to the organization named in Section 1, SOCIETY shall refer to the National Society named in Section 1, and SECTION shall refer to the Denver Section of the Institute of Electrical and Electronic Engineers. Section 3. The Chapter territory shall be the same as the territory described in the bylaws of the Denver Section of the IEEE. | |
Article II Fiscal Year | |
| The Chapter shall operate on a fiscal year beginning on January 1st and ending on December 31st of each calendar year. | |
Article III Field of Interest and Objectives | |
| Section 1.
The field of interest of the Chapter shall be that defined in the Constitution of the Society. Section 2. The Chapter shall sponsor meetings of the Section within the field of interest of the Chapter, provide the necessary personnel for Section committees, and assist in promoting IEEE authorized symposia, conferences, regional meetings, etc. held within the Section territory. The Chapter shall be responsible for coordination with the Section on such activities. (Chapter officers will notify membership and ask for participation from the membership for section activities. The Chapter officers are not obligated to any further section involvement if no volunteers step forward.) | |
Article IV Membership | |
| Section 1.
Chapter Members.
The members of the Chapter shall be IEEE Section members of any grade who are also members of the EMC Society. Section 2. Chapter Affiliates. Affiliate status of the EMC Society requires: a) current membership in other IEEE-approved affiliate organizations and b) individual application filed through the IEEE and the EMC Society. (Affiliate definition per IEEE EMC Society Constitution.) Section 3. Non-members. Non-members are:

Article V Officers and Management | |
| Section 1.
The Chapter was established on May 1st, 1991, in the Section by the Section Executive Committee in accordance with regulations of the Institute of Electrical and Electronic Engineers to function in the manner of a chapter of the Section. Section 2. The Chapter shall be managed by an Administrative Committee composed of the officers of the Chapter, the Chairmen of all standing committees of the Chapter, and the Vice-Chairman of the Section, or his representative, ex-officio. The Administrative Committee may elect, by a majority vote, additional members from the Chapter. The Administrative Committee shall be responsible for carrying out the local program of the Society and shall be governed by the actions of the National Society Administrative Committee. Furthermore, it shall be responsible for preparing such reports for the Society as may be required by the Society Bylaws, and for submitting meeting and financial reports to the Section. Section 3. The term of office of all Chapter officers shall be one year coincident with the term of Section officers. The Administrative Committee shall fill vacancies of office which occur during the year. Section 4. The Administrative Committee of the Chapter shall hold meetings at such times as are deemed necessary to carry on the management of the Chapter. The minimum number of meetings annually shall be two. Meetings of the Administrative Committee may be called by the Chapter Chairman at his discretion, or shall be called upon request of two of its members. No meetings shall be held unless all members of the Committee shall have been notified of the time and place one week in advance of the meeting. Two-thirds of the Administrative Committee shall constitute a quorum. A plurality vote of members attending a meeting shall be necessary to conduct business unless otherwise provided to the contrary. | |
Article VI Duties of the Officers | |
| Section 1 Chair.
The Chapter Chairman shall generally supervise the Chapter in all of its activities, approve chapter annual budget and any spending during the term of office, chair the annual mini symposium, preside at all meetings of the Chapter, per se, and of its Administrative Committee, and represent the Chapter at all meetings, Sectional, Regional, or otherwise, having business or activity embraced by the field of interest of the Society. The Chapter Chair will head the Publicity and Arrangements Committee. The Chapter Chair is responsible for an accurate budget and records of all financial activities of the Chapter and its officers, and shall make such reports as are required by the Section or the Society pertaining to the financial status of the Chapter. The Chair may delegate the financial responsibilities where appropriate with approval from the other officers of the Chapter. Section 2. Vice Chair The Vice-Chairman shall assume the duty of the Chairman during the latter’s absence or incapacity, and any of the duties of the office of Chairman when so directed by the Chairman. The Chapter Vice-Chair will head the Technical Program Committee. Section 3. Secretary The Secretary shall keep accurate minutes and records of all activities of the Chapter and its Administrative Committee, and shall make such reports as are required by the Section or the Society pertaining to all activities of the Chapter. The Secretary will head the Membership Committee. Section 4. Annually elected officers and other members of the Administrative Committee shall assume office concurrently with the newly elected officers of the Section. Section 5. No Chapter, no officer nor representative thereof, shall have authority to contract debts for, pledge the credit of, or in any way bind the Section, Society or the IEEE. | |
Article VII Standing Committees | |
| Section 1.
Membership
The Membership Committee shall encourage and promote Chapter and Society membership consonant with membership requirements of the Society Constitution and Bylaws, and shall maintain a current list of members in good standing in the Chapter. This committee shall be headed by the Chapter Secretary. Section 2. Technical Program The Technical Program Committee shall solicit and coordinate speakers for proper coverage of the Chapter field of interest at technical meetings. The Technical Program Committee shall prepare, distribute, and collect speaker and topic surveys to ensure that the needs and requests of Chapter members are met. The Technical Program Committee submits the meeting notice and speaker biography to the Chapter Secretary for distribution. The Technical Program Committee shall send the necessary meeting information to the Society as requested. Section 3. Publicity and Arrangements The Publicity and Arrangements Committee shall be responsible for all publicity of the Chapter to keep the Section members informed of Chapter activities, and as such act in liaison with corresponding committees in Section, Regional and National levels in order that the over-all publicity of the IEEE be served best. It shall arrange, as a part of the corresponding Section committee, for all meeting places and required facilities. This committee shall be headed by the Chapter Chairman. Section 4. Each Committee shall be headed by a Chairman as defined above, and shall have the power to divide its work or create a subcommittee of its own selection. | |
Article VIII Meetings | |
| Section 1.
The Chapter shall be required to hold not less than
two meetings a year. Such Semi-Annual Meeting shall be held in spring for
the purpose of electing, or, in the event of mail voting, determining and
instating Chapter officers and in the fall. All technical meetings put on by the Chapter shall be open to all Section members, to all Chapter members, to all Society Affiliates and to all others with common interests of the Society. Consideration to a meeting charge for non-members of the chapter will be given to events of full or partial sponsorship by the IEEE be it from home office, section or the chapter. This will be on a meeting by meeting basis and will be determined by the chapter chair and vice-chair. Notification of meeting charges will be posted on the chapter website. Notices of technical meetings promoted by the Chapter shall be sent to members, the Section and Society Affiliates. The Section will integrate all meetings proposed by the Chapter into the Section program so far as equitable to other Chapters and fields of interest, whether represented by Chapters or not. Section 3. Each Chapter Member and Society Affiliate so recognized shall receive notices regarding meetings, symposia, conferences, conventions, and other pertinent functions and activities of the Society, or Societies, of which he is a member, or with which he is affiliated. Section 4. An Affiliate shall be entitled to attend and participate in activities of the Society or Societies with which he is affiliated by payment of the same charges as IEEE Members. (An affiliate is any person who is not an active IEEE EMC member, yet wishes to participate in chapter activities.). | |
Article IX Financial Support | |
| Section 1.
The Chapter shall administer and have authority over only such funds as are 1) given to it by the associated Society through the Section Treasurer, or 2) allocated to it by the Section Executive Committee, by the District, or by the Region, or 3) by collection of fees at meetings, or 4) from vendors who sponsor chapter activities, or 5) monies paid for advertising on the chapter web-site, or 6) monies from chapter work at local events (for example, dollars for work provided for the international symposium). | |

Article XI Web Site | |
| Section 1.
The Chapter shall maintain a web-site, using
support from the IEEE. The Chapter Chairman will appoint a capable person
to act as the Chapter’s Web Administrator The Chapter can provide advertisement space on the web-site, for a fee determined by the Chapter officers. The chapter will recognize chapter sponsors on the web-site for at least 6 months after the sponsored activity. | |
Article XII Nominations and Elections | |
| Section 1.
Candidates must hold Fellow, Senior Member or Member grade memberships,
and must be members of both the EMC Society and the Chapter.
Section 2. Nominations shall contain at least one name for each office. Unless otherwise contested, the Secretary automatically becomes a candidate for Treasurer, the Treasurer automatically becomes a candidate for the office of Vice-Chair, and the Vice-Chair automatically becomes a candidate for the office of Chair. Section 3. No name of any candidate shall be presented without his or her prior consent. Section 4. Election shall be by direct vote of the eligible members at the election meeting, unless the election is held by an e-mail ballot at least two weeks prior to the election meeting. Provisions for an e-mail vote by eligible members shall be made in an e-mail ballot. A plurality of votes cast shall elect. The Chapter officers or its designees shall constitute a Tellers Committee. The Administrative Committee or its designees shall constitute a Tellers Committee. Section 5. An Affiliate cannot serve in an elective office in a Chapter nor vote for candidates for these offices unless authorized by the IEEE Executive Committee. Section 6. In the event of a tie, the nominating committee chair shall cast the deciding vote. | |
Article XIII Amendments | |
| Section 1.
Amendments to these Bylaws may be initiated by a majority of the
Administrative Committee or by petition bearing fifteen signatures of
Chapter members.
Section 2. Proposed amendments to these Bylaws shall be made available to chapter members at either a regular monthly chapter meeting or by email. A plurality vote by chapter members who are present at the chapter meeting is required to approve the amendments. Section 3. All changes in the Bylaws must be consonant with the Constitution and Bylaws of the IEEE, the Society, and the Section. | |
Article XIV Other Provisions | |
| Section 1.
Any matters relating to the operation and affairs of the Chapter, which are not covered herein, shall be resolved by action of the Chapter Officers in accordance with the provisions of the IEEE Constitution and Bylaws, and published interpretation of policy.. [Contents] Return to Chapter Home Page
