MEMORANDUM
OF AGREEMENT BETWEEN
THE
INSTITUTE OF ELECTRICAL AND ELECTRONICS ENGINEERS ELECTROMAGNETIC
COMPATIBILITY SOCIETY
AND
THE
NATIONAL ASSOCIATION OF RADIO AND TELECOMMUNICATIONS ENGINEERS, INC.
PURPOSE
1. The purpose of this document is to state the terms of
a mutual agreement (Memorandum of Agreement or MOA) between the
Institute for Electrical Electronics Engineers, Incorporated, through
its IEEE Electromagnetic Compatibility Society (IEEE EMCS) and the
National Association of Radio and Telecommunications Engineers, Inc.
(NARTE) that will serve as a framework within which both organizations
may, where mutually beneficial, cooperate in, support or cosponsor
programs or events intended to foster and promote technical awareness,
education, and achievement in electromagnetic compatibility. Each
organization comprises volunteers and professional staff in support of
their respective educational and technical recognition programs and
efforts. It is intended that this agreement will promote joint
coordination and exercise of the resources of both IEEE EMCS and NARTE
to recognize the potential and capability of individual members of both
organizations in the furtherance of their technical understanding and
achievement in electromagnetic compatibility and other
telecommunications techniques, and in the case of NARTE, the provision
of credentials as recognition of and reward for such achievement.
RECOGNITION
2. IEEE EMCS recognizes NARTE as a nonprofit membership
association of technical practitioners in the telecommunications
industry, which offers an accredited certification program to qualified
engineers and technicians in telecommunications, electromagnetic
compatibility and electrostatic discharge. NARTE's primary mission is
to promote the excellence of workmanship in the telecommunications
industry and related areas through education, evaluation standards,
testing and quality control and to foster a high standard of ethics in
personal conduct and work performance.
3. NARTE recognizes IEEE EMCS as a technical society of
the Institute for Electrical Electronics Engineers, Incorporated, a
nonprofit corporation that is exempt under Section 501(c)(3) of the
Internal Revenue Code of 1986. IEEE EMCS consists of specialists in the
field of electromagnetic compatibility, organized for the promotion of
interest in the enhancement of electromagnetic compatibility including,
but not necessarily limited to:
a. The generation of engineering standards
b. Measurement techniques and test procedures
c. Measuring instruments
d. Equipment and systems characteristics, such as
susceptibility (immunity), vulnerability, related propagation effects,
and subjective effects, frequency allocation and assignment
e. Improved (interference reduction or control)
techniques and components
f. Education in electromagnetic compatibility
g. Studies of the origins of interference, both man-made
and natural, and their classification
h. Spectrum conservation
i. Spectrum utilization
j. Shielding techniques
k. Side effects of electromagnetic energy
l. Scientific, technical, industrial, professional or
other activities that contribute to this field, or utilize the
techniques or products of this field, subject as the art develops, to
additions, subtractions, or other modifications directed or approved by
the IEEE Technical Activities Board.
PRINCIPLES OF COOPERATION
4. In order that the parties may cooperate and utilize
their resources from time to time to optimum mutual benefit to both
parties, the following principles and methods are agreed upon:
4.1. This agreement shall be considered exclusive on the
part of NARTE and non-exclusive on the part of IEEE EMCS. That is,
NARTE shall accept guidance provided by IEEE EMCS as the final
technical authority on such subjects with respect to the science of EMC
technology or the application of such technology. The IEEE EMCS may
also collaborate with other organizations in the dissemination or
institutionalization of EMC technology. However, IEEE EMCS is obligated
to assist NARTE in the correct definition of the EMC science. Terms and
conditions of this obligation are limited to those identified in this
MOU.
4.2. The parties will correspond with each other
concerning the exchange of certain technical articles, demonstrations
and similar materials and activities in order to encourage and broaden
interest, understanding and appreciation of electromagnetic technology.
The parties will use best efforts to provide booth space to each other
at conventions, symposia and workshops, in order to provide a forum to
each party to present a broad range of technical expertise on
electromagnetic compatibility topics for the respective benefit of the
audiences of both parties.
4.3 NARTE will pursue certification of technical
practitioners including distribution of application forms, review,
approval and disapproval of applications, administration including
establishment of locations, times, dates and costs of credential
certification examinations, archival of completed examinations,
issuance of certificates of accreditation to qualified applicants,
processing of certification, renewal applications, revocation of
individual certifications, re-issuance of accreditation certificates to
persons whose certificates have been revoked distribution of lists of
persons certified by NARTE, rules of procedure and other information as
appropriate.
4.4 IEEE EMCS will assume responsibility for the
technical accuracy of the EMC question file from which NARTE derives
its credential certification examinations. IEEE EMCS through existing
technical committees, will review the existing question file for
accuracy and correct depiction of science. NARTE will continue to use
its existing data file until such time as the IEEE EMCS notifies NARTE
that portions or the complete file is reviewed. To maintain integrity
of the examination file, no questions reviewed and approved by IEEE
EMCS will be released to the public without the express permission of
both IEEE EMCS and NARTE.
4.5 The parties will exchange regulatory and legislative
agendas and, to the extent that there is an identity of interest on an
issue, they will cooperate in the advocacy of issues of mutual interest
before the FCC and other agencies, and in Congress to the extent that
such cooperation may further their shared regulatory goal.
4.6 The parties each wish to encourage technical
investigation and advancement of knowledge in electromagnetic
compatibility. The parties will cooperate in the development of
curricula for technical personnel and practitioners on a vocational and
avocational basis and in the introduction of concepts and practices to
those persons and to the general public.
4.7 The parties will generally encourage ongoing liaison
with each other and urge members of both organizations to develop
increasingly effective communications and cooperation.
4.8 It is expected that activities under this agreement
will be conducted by one or more technical committees whose function
and membership will be appointed by the responsible officers of both
organizations. The parties agree that they will submit any dispute
arising out of this Agreement to non-binding mediation with
JAMS-ENDISPUTE in the State of New York. Any dispute not resolved in
that manner will be settled only by binding arbitration in the State of
New York under the rules of the JAMS/ENDISPUTE then in effect. The
arbitrator will be selected by mutual agreement of the parties or,
failing that, by JAMS/ENDISPUTE.
4.9 ) NARTE shall defend and hold harmless IEEE EMCS
against any and all claims, liabilities, damages, judgments, costs and
expenses (including reasonable attorney's fees and costs)(together
"Claims") asserted against, imposed upon or incurred by IEEE EMCS, its
directors, officers, employees and agents that arise out of, or in
connection with NARTE's certification of technical practitioners unless
such Claim arises from an inaccuracy in the EMC question file. The
provision of this Section 4.9 shall survive termination of the
Agreement with respect to any claim, action, or proceeding that relates
to acts or omissions occurring during the term of this Agreement.
EXECUTION
5.1 This memorandum shall take effect upon its signing
by authorized representatives of each organization.
5.2 This memorandum may be amended by mutual agreement
of the parties and will remain in effect until terminated by either
party, upon ninety (90) days' advance written notice to the other.
NARTE and IEEE EMCS will periodically review this agreement and
coordinate such revisions as may be necessary.
5.3 Nothing herein will create any joint venture,
partnership or other business association, nor shall either party enter
into any obligation or commitment on behalf of the other.
